Form 45-106F1 Report of Exempt Distribution (Form 45-106F1) came into force in all CSA jurisdictions on June 30, 2016.
Schedules 1 and 2 of the New Report must be filed using the following templates developed by the CSA:
When am I required to file Form 45-106F1?
You must file the Form 45-106F1 Report of Exempt Distribution on or before the 10th day after completing each distribution (sale of security). For example, if you complete a distribution on February 1, you must file a Form 45-106F1 by February 11. If you complete a further sale on February 15, you must file another report by February 25.
Filing Instructions
An issuer or underwriter that is required to file a report of exempt distribution and pay the applicable fee must file the report and pay the fee as follows:
In all other jurisdictions – through the System for Electronic Document Analysis and Retrieval (SEDAR) in accordance with National Instrument 13-101 System for Electronic Document Analysis and Retrieval (SEDAR) if required.
Reports of Exempt Distributions – Fees
- Filing on SEDAR only – $75.00
- Filing with the BCSC and the OSC – $75.00
Report must be in a fillable format and not need any review and/or revisions. Must provide correct filing fees and payment in full must be received by ALS prior to the filing being completed.
If there are any additional fees payable at the request of any Securities Commission there will be fees applicable over and above these fees.
Drafting Report of Exempt Distribution – Hourly Rate of $50 per hour, minimum charge 1 hour.
EXPEDITED FEES:
Reports must be received no later than 1:00 pm on the date of filing. An additional fee of $75 will be charged for any reports required to be SAME DAY filed and received AFTER 1:00 pm.
